Terms of Use for PropBot

This Terms of Use overview lists the active sections governing how users interact with PropBot for property management, communication, and collaboration.

1. Acceptance of Terms of Use and Amendments

By accessing or using this website and any services provided by PropBot, you agree to be bound by these Terms of Use. We may update these terms at any time with or without prior notice, and it is your responsibility to review them regularly. Continued use of our services constitutes acceptance of any changes.

When using particular services on or through this site, you will be subject to any posted guidelines or rules applicable to those services, which may be incorporated by reference into these Terms of Use.

2. Our Service

Our services are provided on an "AS IS" and "AS AVAILABLE" basis. We may modify, suspend, or discontinue any aspect of the service at any time without notice. We are not liable for the accuracy, reliability, or timeliness of data or content made available through the service.

3. Shared Responsibility Model for Cloud Services

PropBot operates under a shared responsibility model to keep customer data secure. Both parties are expected to follow industry best practices.

  • Our Responsibility: PropBot manages the security of the underlying cloud infrastructure, including physical security, network layers, and hardware.
  • Your Responsibility: Customers secure the data, applications, and configurations they control. This includes maintaining strong passwords, managing user access, and configuring workloads appropriately.

4. Privacy Policy

Registration data and personally identifiable information are handled in accordance with our Privacy Policy, which is incorporated by reference into these Terms. Review the Privacy Policy to understand how we collect, use, and protect your information.

5. Registration, Emails, and Passwords

You are responsible for maintaining the confidentiality of your login information and for notifying us of any unauthorized use of your account. Keep your email address current so you can receive account, subscription, and renewal notices.

6. User Conduct

You agree not to use the service for unlawful or prohibited activities, including but not limited to uploading harmful content, impersonating others, harvesting personal data, or sending spam.

We reserve the right to suspend or terminate accounts that violate these rules.

7. Submission of Content and Data Ownership

By submitting content (documents, legal agreements, property data, media, etc.) you affirm that you own or have rights to share the content. You grant PropBot a non-exclusive, royalty-free, perpetual license to use the content for operating the platform.

If you submit content on behalf of an entity, you confirm you can grant access to the relevant stakeholders. Content can be viewed or transferred according to the permissions configured by the user or entity owner.

PropBot does not claim ownership of user content but may remove or block content that violates these Terms of Use or applicable law.

8. Subscription, Storage, and Sale Fees

PropBot subscriptions renew automatically and are non-refundable unless otherwise stated. Cancel before the next billing cycle to prevent renewal. We may adjust subscription fees or billing methods with advance notice.

Users may be responsible for chargeback fees if a dispute is filed. Storage services incur additional fees based on usage; exceeding limits triggers additional charges according to current pricing.

PropBot facilitates sales or transfers of documentation and property data. You must have the right to sell the content, and PropBot acts solely as a facilitator without verifying legality or accuracy.

Upon completion of a sale, the rights to access and use the content may be transferred to the new owner, as specified in the agreement between buyer and seller.

PropBot charges a facilitation fee for the sale and transfer of documentation. These fees will be outlined and agreed upon during the transaction process, and completing the transaction signifies your acceptance of those fees.

Any disputes related to the sale of content will be handled between the buyer and seller. PropBot is not liable for issues arising from the transaction beyond facilitating the process.

Subscription Fees

Subscriptions auto-renew and are non-refundable unless specified. Manage or cancel before the next cycle. Continued use after rate changes constitutes acceptance.

Storage Fees

Storage charges are based on the volume and type of data stored. Additional storage incurs extra cost and fees are non-refundable.

Fees for Selling Documentation and Property Data

When selling uploaded content you warrant you have rights to do so. PropBot facilitates the transaction but does not validate the content or guarantee outcomes.

Transfer of Access Rights

Successful buyers gain access rights according to the sale agreement, and PropBot updates permissions to reflect the new owner of record.

Facilitation Fees

PropBot applies a facilitation fee to documentation sales and transfers. The applicable fee will be disclosed during checkout, and proceeding with the sale confirms your acceptance of that fee.

Dispute Resolution

Any disagreements between buyers and sellers regarding sold content must be resolved by the parties involved. PropBot provides tools for communication but does not mediate or reimburse facilitation fees.

9. Third-Party Services, Usage Fees, and Payment Processing Fees

PropBot connects property owners with independent third-party vendors that provide real estate, property management, legal, maintenance, and related services. These services are offered through our marketplace, but each vendor operates independently.

Your engagement with a third-party vendor, including pricing, deliverables, and payment terms, is solely between you and that vendor. PropBot does not guarantee the quality or timeliness of vendor services.

Third-Party Service Marketplace

PropBot makes it easier to discover vetted vendors, but any agreements, deliverables, and liabilities rest with the vendor and the user. PropBot disclaims responsibility for disputes, missed timelines, or service failures.

Usage Fees

PropBot charges a usage fee when a property owner or user consumes a third-party service via the platform. This fee is separate from the vendor’s quote and is disclosed at the time of purchase. Proceeding with the order constitutes acceptance of the usage fee.

Payment Processing Fees

PropBot may charge additional payment processing fees to cover credit card processing, ACH transfer fees, and other payment-related costs. Fees vary by payment method and are presented before you submit payment.

Responsibility and Dispute Resolution

Any disputes or claims arising from third-party services must be resolved directly between the user and the vendor. PropBot may intervene if platform policies are violated but is not liable for damages stemming from vendor relationships.

Changes to Vendor Services

PropBot may modify or remove vendors from the marketplace without notice. Users should retain their own records and confirm contractual terms directly with vendors outside the PropBot interface.

10. Indemnification

You agree to indemnify and hold PropBot, its affiliates, officers, directors, employees, and agents harmless from any claims or demands arising out of your use of the service, violation of these Terms of Use, or violation of any rights of another party.

11. Disclaimer of Warranties

THE SERVICES PROVIDED BY PROPBOT ARE ON AN "AS IS" BASIS WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE CONTINUOUS OR ERROR-FREE OPERATION OR THAT THE CONTENT WILL BE SECURE OR VIRUS-FREE. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.

12. Limitation of Liability

IN NO EVENT SHALL PROPBOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF DATA, PROFITS, OR USE, ARISING FROM THE USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13. Reservation of Rights

We reserve all rights to our content, trademarks, patents, and proprietary materials. You are granted no license to use our intellectual property without prior written consent.

15. Governing Law

These Terms of Use are governed by the laws of the jurisdiction where PropBot is headquartered. You agree to submit to the exclusive jurisdiction of the courts located in that region.

16. Miscellaneous

If any provision of these Terms of Use is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Failure by either party to assert any right under these Terms shall not be considered a waiver.

Any claim or cause of action arising out of the website or its services must be filed within one year after such claim or cause arose or it shall be forever barred.

We may assign our rights and obligations under these Terms of Use and will be relieved of any further obligation upon doing so.

17. Data Retention and Deletion Policy

PropBot retains your data for as long as necessary to provide the services outlined in these Terms of Use, and to meet legal, compliance, and dispute-resolution obligations.

Upon account termination or upon your request, PropBot will make reasonable efforts to delete or anonymize your data unless retention is required by law or for legitimate business purposes.

Users are responsible for backing up their data before requesting deletion or account termination because deleted data cannot be recovered.

18. Liability for User-Generated Content

Users are solely responsible for the content they upload to PropBot, including documents, agreements, photos, and property data. PropBot does not review or verify the accuracy or legality of user-generated content.

By submitting content, you represent and warrant that you have the legal right to upload, share, or distribute the content and that doing so does not infringe on third-party rights.

PropBot may remove content that violates these Terms or applicable laws but is under no obligation to review all content submitted by users.

19. Termination of Accounts

PropBot may terminate or suspend user accounts at its discretion for violations of these Terms, applicable laws, or behavior deemed harmful to the platform or its users.

Users may request account termination at any time. Access to the platform and stored data will cease upon termination, so users should download or back up their data beforehand.

PropBot is not responsible for data loss resulting from termination initiated by the user or PropBot.

20. Revenue Sharing and Vendor Relationships

PropBot may enter into revenue-sharing agreements with third-party vendors that provide services through the platform. These agreements do not change the fees charged to users unless otherwise stated.

PropBot does not assume liability for issues between users and vendors, including disputes, non-performance, or refund claims. Vendors must comply with PropBot policies and may lose access for violations.

21. Intellectual Property and Trademarks

All intellectual property — including trademarks, logos, designs, software, and other proprietary materials — is the exclusive property of PropBot or its licensors.

Users receive no rights or licenses to use PropBot's intellectual property without prior written consent. Unauthorized use, including copying, modifying, or distributing materials, is prohibited and may result in legal action.

22. Service Disruption and Downtime

PropBot strives for continuous availability but service disruptions or downtime may occur due to maintenance, updates, system errors, or unforeseen issues.

We do not guarantee uninterrupted access and are not liable for direct or indirect damages arising from downtime, including data loss or transaction failures. Users should routinely back up critical data.

In the event of a prolonged outage, PropBot may, at its discretion, offer prorated refunds for subscription services based on the duration of the downtime, but such refunds are evaluated case by case.

23. Refund Policies

PropBot evaluates refund requests according to the fee type. Unless otherwise noted, all fees are non-refundable, and users are responsible for understanding each category before purchasing.

Subscription Fees

Subscriptions are non-refundable except when the platform experiences significant service outages as defined in Section 22. Requests must be submitted within 30 days of the outage with supporting details for consideration.

Storage Fees

Storage fees are non-refundable. Users must monitor usage and adjust plans accordingly. PropBot will investigate alleged overcharges and issue refunds only when an error is verified.

Fees for Selling Documentation and Property Data

Facilitation fees tied to completed documentation sales are non-refundable. PropBot does not mediate disputes about the quality or legality of the transferred data.

Third-Party Service Fees

Payments for third-party vendor services follow each vendor’s refund policy. PropBot does not process refunds unless explicitly stated by the vendor.

24. Security of User Accounts

You are responsible for maintaining the security of your PropBot account, including safeguarding login credentials and notifying PropBot immediately if you suspect unauthorized access.

We encourage the use of strong, unique passwords and multi-factor authentication where available. PropBot is not liable for losses stemming from your failure to protect account credentials.

25. Acceptable Use Policy

You agree to use the PropBot platform in a lawful, ethical, and respectful manner.

PropBot reserves the right to suspend or terminate accounts that violate this Acceptable Use Policy.

  • Illegal or harmful content: Do not upload, share, or distribute material that is illegal, defamatory, obscene, or otherwise harmful.
  • Harassment: Do not harass, abuse, or intimidate other users.
  • Interference: Do not interfere with or disrupt the platform, including attempts to gain unauthorized access to systems, accounts, or data.
  • Fraudulent activity: Do not engage in fraud, impersonation, or misrepresentation while using PropBot.
  • Regulatory compliance: Do not violate local, national, or international laws or regulations in connection with your use of the platform.

26. User Data and Analytics

PropBot may collect and analyze platform usage data to improve services and enhance the user experience. This data can include interaction metrics, transaction history, and system logs.

Data is anonymized where applicable, and PropBot complies with applicable data protection laws when handling personal information. Continued use of the platform indicates your consent to the analytics outlined in our Privacy Policy.

27. Force Majeure

PropBot is not liable for any failure to perform its obligations if such failure results from causes beyond its reasonable control, including natural disasters, war, strikes, government regulations, cyber-attacks, or other emergencies.

In these events, PropBot will make reasonable efforts to resume services quickly but is not obligated to issue refunds or credits for interruptions caused by force majeure events.

28. Changes to the Platform and Termination of Services

PropBot may modify, suspend, or discontinue any part of the platform at any time, with or without notice. Significant changes may be communicated via email or platform notices.

PropBot may terminate your access to the platform, without liability, for violations of these Terms, prolonged inactivity, or other reasons deemed necessary to protect the platform.

29. Data Breach Policy

PropBot takes the security of user data seriously. In the event of unauthorized access, disclosure, alteration, or destruction of data, PropBot follows a defined response plan.

Immediate Action

Upon discovering a breach, PropBot will contain the incident, assess its scope, and take steps to mitigate impact, including securing systems and rotating credentials.

Notification of Affected Users

If the breach poses a high risk to user rights or freedoms, PropBot will notify affected users without undue delay via the email associated with their account and outline protective measures they should take.

Notification to Authorities

Where required by law, such as under GDPR, PropBot will notify relevant data protection authorities within 72 hours, providing details of the breach and remediation steps.

Ongoing Risk Assessment and Mitigation

PropBot will continue to monitor for residual risks, implement additional safeguards, and review security practices to prevent future incidents.

User Responsibility

Users should follow security best practices, including strong passwords and vigilance for phishing attacks, to help protect their accounts.

Remedies and Support

If a breach compromises personal information, PropBot will assist users with recovery steps and guidance tailored to the incident.

Changes to This Policy

PropBot may update this Data Breach Policy over time and will communicate substantive changes via email or platform notices.
