Need Help Changing Corporation Info So That I Can Get A Corp Bank Account
I have a NY corporation that I have created with an accountant about 6 years ago with 4 partners. The c corp was supposed to be a partnership. At the bottom of the Certificate of incorporation all partners signed.
In witness whereoff, this certificate has been subscribed on "date" by the undersigned incorporator(s).
Partner 1 - Which is me
Partner 2
Partner 3
Partner 4
We never did any business during the past 6 years since the corporation was registered and the cororation has been sitting there ever since. I tried to register a bank account for the corp but the bank required all of the people on the signed certificate of incorporation to be there.
After reading about shelf corporations I relized that this corporation would be an excellent vehicle for financing.
Soooo........
I am no longer friendly with the other partners so getting them to sign something saying that the resigned would be impossible.
I managed to find the phone number to the accountant that set it up and he said that I dont have to change anything at all and that all I have to do is file 1 form the I usually have to file every year.
Now my question is.
What form is it that I have to file in NY in order to change this information on the certificate of Incorporation to just my name?
What do I have to do to change the address and person of the person who filed to my address and name.
What would I have to do to finally open a bank account for this corporation?
Any other helpfull information you have please tell me. Its been 6 years I really want this corporation up and running ASAP. I need HELP!
Might want to try another bank because unless NY has some unusual law (which I doubt), the person you spoke with is clueless.
Banks normally ask for a board resolution okaying a bank account.
Incorporators, at least in CA, usually have no authority once the corp is chartered.
