How To Price A 40+ Unit Apartment Complex

First off, a big thank you to all of you who diligently answer questions on this site...your wisdom is definetely a valuable resource.
Now the question, I am currently looking into a 2million , 40 unit apartment complex. What is the best way to do my "due diligence" on this property? What is the best method to price this property and make sure I don't overpay? Is there a software resource that helps with crunching the numbers and what are the key things to look at on the balance sheet?
I know thats a mouthful, any response is appreciated !

Thanks for the great reply. I appreciate the info. I am finding it difficult to come up with the last $100000 of financing. Does anyone know where I could get a small second on a property like this?
