How Do You Sign For Your LLC?

I know when I'm signing for my LLC I always need to put my title after my name. What do you use? Are you John Investor, "President"

what are the oficial, legal titles that I can pick from? Do I detail this in my Operating Agreement? I'm just now writing my Operating Agreement so its easy to add.

Thanks,
Ginnie

An LLC has members and a managing member. For an LLC, I've come across, in my research, the "Chief Executive Manager" title. That's what I use. I sign documents "John Doe, CEM". It establishes a top authority if you decide to add other managers. I did also specify this in my op agreement.

    I hope this helps.

Speaking of who signs, I've seen some slick, albeit slightly shady deals done regarding this issue:

A couple of years ago, a note on a TX business was really interesting me (to buy same).

The alleged buyers were a TX zillionaire couple with lotsa $$$, and fine credit and financials.

Those folks had bought a flourishing TX night club and had given the seller their note for most of the purchase price.

BUT, on my close examination of the note & purchase contract signed by the debtors (and prepared by their lawyers), I saw that in fact that note and agreement were NOT individually signed, but were signed only by Joe & Mary Smith as President & VP of their corporation...and NOT as individuals!

So of course I had no interest and didn't buy the note.

Some months later in again talking to the TX note holder who'd sold that business, I learned that the TX rich folk had indeed grown weary of playing with their new toy (the business their corp. had bought) and had just quit paying their note.

What recourse did the note holder have?

None, except to go back, take over the business, build it up again, and start all over.

Because of course the only asset the TX buyers' corp had was that property, so it wouldn't have been worth suing the corp.

So whenever you're thinking of taking a note , make sure you're getting one personally signed & guaranteed, and not just one from their corp.

I thought the easiest way would be to show an example:

THE SAMPLE COMPANY, LLC, a Delaware limited liability company

By: THE LLC HOLDING CORPORATION, a Delaware corporation, as its sole member

    By: William L. Exeter
    President and CEO
