Forming single member LLC in FL

Hi,

I am trying to form a Single member LLC in Orlando/FL. I went to www.dos.state.fl.us and tried to do this online filing. The form asked for the Registered Agent. I have no idea what that is or who that is. Any ideas?

Also I could not indicate anywhere that this is a single member LLC. Thanks a lot in advance

    I recently had my attorney set up an LLC for me in Florida and I think I can answer your questions. First, you are the Registered Agent. Under the Registered Agent clause, simply state that "the name and address of the Company's Registered Agent shall be...insert your name and address or the company's address... Second you don't need to state that it is a single member LLC. Under the clause for Members simply refer to Exhibit A and in Exhibit A list yourself as the only member and show what your capital contribution to the Company will be and show yourself as the 100% owner.     You might find it in your best interest to have at least your first LLC setup by a pro, ie. an attorney.

    There are things that need to be done and if you don't do them properly, the LLC will not shield you.

    I am actually only looking to use LLC for flipping non-assignable contracts. So I would hold it short term. I am not looking at it as for its intended purpose(Shielding against liability). Does this sound like a good idea ?

    Wow, I got too many question here. Not sure if I get answers, but will try. Appreciate the help:


    - Can one person be the manager/member and registered agent?
    what are responsibilities of an registered agent by law?

    - do I need to be acting as manager or member for SMLLC?

    - how do I sell my LLC or assign interest to investor w/o name change?

    - can the address to LLC be a private post office address like Suite A?

    - if assigning interest of LLC,does agent and member have to be changed as well? tax implications?

    - if selling LLC,does agent and member have to be changed as well? tax implications?

    Perhaps I'm missing something, but you might be better off using Land Trusts. It appears to me that you are acquiring property (not assignable) but you want to flip/sell to another party. This can easily be done with Land Trusts as you change the beneficiary.

    As far as the address goes - you can use a PO Box type address in a sense. You can use this for your mailing address. But you must also have a "real" address. Check out those books I recommended. They have many more answers and are well worth the $20.
