Am I Nuts?

Hello,

Am I nuts to consider waiting to get my first assignment deal under contract in the name of my future LLC and THEN go ahead and form my LLC so that by the time I assign and my rehabber closes, my entity is official?

Any major liabilities I am incurring here?

I want to part with the money as close to payday as possible. Any insight would be helpful, thanks! wink

    Strictly from a legal perspective, I would prefer my clients not do business in the names of inchoate corporations.

    However, if you're bent on this course of action, make darn sure you can get the LLC formed in the time frame you'll need it, and make sure the name isn't taken ... and that it's so novel that it's unlikely to be taken ... during the pendency of the contract.

    P.S. You're personally on the hook where you're signing for a corporaton that doesn't exist yet, but it's likely you would be easily sued anyway even if the entity was in place.

    Entities protect best against things you didn't do yourself (like slip'n'falls where there's adequate insurance, etc.)[ Edited by flacorps on Date 10/16/2003 ]
